Terms and Conditions of Service

1.

Definitions

  • "Qolina", "we", "us", "our": refers to Qolina, a software-as-a-service platform operated under Moroccan law.
  • "Application" or "App": the Qolina Owner mobile application available on Apple App Store and Google Play Store.
  • "Service": the Qolina SaaS platform, including the Application, the client-facing feedback collection interface, QR code generation, dashboard, improvement axes, and all related features.
  • "Subscriber", "you", "your": any natural person or legal entity that creates an account and subscribes to the Service.
  • "Business": the commercial establishment (restaurant, café, salon, store, or other) registered by the Subscriber on the Service.
  • "End User" or "Client": any person who scans a QR code and interacts with the Qolina feedback form.
  • "Signal": a submission made by an End User through the Service, which may include signal classification (ok/issue), structured answers, an optional comment, and optional contact phone number.
  • "Essentiel Plan": the subscription tier described in Section 4, being the sole plan currently available through the Application.
  • "Improvement Axis": an internal action item created by the Subscriber to track and resolve issues identified through Signals.

Acceptance of Terms

By downloading, installing, or using the Application, or by creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a legal entity, you represent that you have the authority to bind such entity.

If you do not agree to these Terms, do not use the Service.


3.

Eligibility

You must be at least eighteen (18) years of age and legally capable of entering into binding contracts under Moroccan law. The Service is intended for business use. You represent that the information provided during registration—including your full name, email address, phone number, business name, business type, and city—is accurate, current, and complete.


4.

Subscription — Essentiel Plan

4.0 Founder Pricing (Limited Phase)

During the Founder recruitment phase, the Essentiel Plan is offered at a preferential rate of 200 MAD per month or 2,400 MAD per year. This Founder pricing is limited to the initial cohort of approved Businesses and remains locked for as long as the subscription remains active without interruption.

Upon completion of the Founder recruitment phase, Qolina reserves the right to increase the public subscription price for new Subscribers.

4.1 Plan Description

The Essentiel Plan includes:

  • One (1) Business account with one (1) location
  • QR code-based feedback collection
  • Client feedback dashboard with signal tracking (ok / issue)
  • Signal history limited to ninety (90) days
  • Improvement axes management (open, in progress, done)
  • Scan session analytics (up to 30-day period view)
  • French and English language support

4.2 Free Trial Period

Qolina may, at its sole discretion, offer a free trial period to new Subscribers. The duration and conditions of any trial period may be modified, shortened, extended, or discontinued at any time without prior notice.

During any trial period, access to the Essentiel Plan features is provided without payment. At the end of the applicable trial period, continued use of the Service requires activation of a paid subscription.

No refund is available once a paid subscription period has started, including after any trial period has ended.

4.3 Billing Cycle, Invoicing, and Renewal

The Essentiel Plan is available as a monthly or annual subscription, as agreed with the Subscriber at onboarding.

Unless the Subscriber provides written notice of non-renewal before the end of the current billing period, the subscription will renew for the same period (monthly or annual) under the then-current public pricing, subject to any Founder pricing lock described in Section 4.0.

4.4 Payment Method (Bank Transfer / Cheque)

Qolina does not process payments through the Apple App Store or Google Play. Subscription fees are paid offline by bank transfer or cheque, based on an invoice issued by Qolina (or by the appropriate legal entity operating Qolina).

Unless otherwise stated on the invoice:

  • Monthly invoices are due at the start of the monthly period
  • Annual invoices are due at the start of the annual period

4.5 Late Payment and Suspension

If an invoice remains unpaid after its due date, Qolina may (i) send reminders, and/or (ii) suspend access to the Service until payment is received. During suspension, data retention rules (including the 90-day history limitation) still apply.

4.6 Price Changes

We reserve the right to modify subscription pricing for new subscriptions and renewals. Any price change will take effect at the start of your next renewal period. We will notify you of price changes with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance of the new price. You may cancel your subscription before the renewal date if you do not agree to the revised pricing.


5.

Account and Access

5.1 Account Creation

Access to the Service requires submission of a registration request through the Application or through the official Qolina website. Account creation is subject to validation and approval by Qolina.

Each approved account is associated with a single Business and a single location (Essentiel Plan, V1). You are responsible for maintaining the confidentiality of your account credentials.

5.2 Membership Roles

At the current stage of the Service (V1), each Business account has a single role: Owner. The Owner is the sole authorized user within the Application. Additional roles (such as Manager or Staff) may be introduced in future versions of the Service at Qolina's discretion.

5.3 Account Security

You are solely responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized access or security breach. We are not liable for any loss arising from unauthorized use of your account.


6.

Data Collection and Processing

6.1 Signal Data

The Service enables the collection of feedback from End Users through QR code scanning. Each Signal submission may include:

  • Structured answers to form questions
  • A signal classification (ok or issue)
  • An optional free-text comment
  • An optional contact phone number (provided only if the End User explicitly opts in)
  • Language preference
  • Device metadata (browser, operating system)
  • A hashed IP address (for abuse prevention; no raw IP is stored)

6.2 Scan Session Data

Each QR code scan generates a session record that captures:

  • Timestamps (start, resolution, submission)
  • Session status and duration
  • Entry method and referrer
  • Device metadata and hashed IP address

6.3 Data Retention

Signal data accessible through the Application is retained for a period of ninety (90) days from the date of submission. After this period, data may be archived or deleted in accordance with our internal data management policies. The Subscriber acknowledges and accepts this retention limitation as a feature of the Essentiel Plan.

6.4 Hosting Infrastructure

All data is hosted on self-hosted Appwrite infrastructure managed by Qolina. Data is stored on servers under our operational control. We implement reasonable technical and organizational measures to protect the security and integrity of stored data, but we do not guarantee absolute security.


7.

Data Ownership

7.1 Subscriber Data

The Subscriber retains full ownership of all data generated through the use of the Service in relation to their Business, including Signal submissions, scan session records, improvement axes, and all derived analytics.

7.2 License to Qolina

By using the Service, you grant Qolina a limited, non-exclusive, royalty-free license to process, store, and display your data solely for the purpose of providing and improving the Service. This license terminates upon termination of your account, subject to any legally required retention periods.

7.3 Data Portability

Data portability or structured export of Business data is not available in the current version (V1) of the Service. Qolina may introduce export functionality in future versions, at its sole discretion.

7.4 Anonymized and Aggregated Data

We may use anonymized and aggregated data derived from the Service for statistical analysis, product improvement, and benchmarking purposes. Such data will not identify you, your Business, or any End User.


8.

End User Data and Privacy

8.1 Subscriber Responsibility

The Subscriber is the data controller with respect to End User data collected through the Service. You are responsible for:

  • Ensuring that a valid legal basis exists for collecting End User feedback
  • Providing End Users with appropriate notice regarding data collection
  • Complying with all applicable data protection laws and regulations

8.2 Contact Phone Opt-In

The collection of an End User's phone number is optional and requires explicit opt-in by the End User. The Subscriber shall use such contact information solely for the purpose of responding to the feedback and shall not use it for unsolicited marketing communications without separate, informed consent from the End User.

8.3 IP Hashing

The Service stores only a cryptographic hash of the End User's IP address for the purpose of preventing abuse and duplicate submissions. The raw IP address is not stored or accessible.


9.

Acceptable Use

You agree not to:

  • Use the Service for any purpose that is unlawful or prohibited by these Terms
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to collect data from minors without appropriate parental consent
  • Resell, sublicense, or redistribute access to the Service
  • Use automated systems (bots, scrapers) to interact with the Service
  • Attempt to access data belonging to other Subscribers
  • Submit false or misleading information during registration

10.

Intellectual Property

10.1 Qolina Property

The Service, including its software, design, user interface, trademarks, logos, and all related intellectual property, is and remains the exclusive property of Qolina. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service as expressly permitted.

10.2 Feedback on the Service

Any suggestions, ideas, or feedback you provide regarding the Service itself (distinct from End User Signal data) may be used by Qolina without restriction or obligation.


11.

No Public Reviews Clause

Important

  • Signal data collected through the Service is strictly internal and confidential to the Subscriber's Business.
  • The Service does not publish, display, or make available any Signal, comments, or ratings to the public.
  • End User submissions are visible only to authorized members of the Subscriber's Business account.
  • Qolina does not operate as a public review platform.

12.

Liability Limitation

12.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Qolina disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 Limitation of Liability

To the maximum extent permitted by Moroccan law:

  • Qolina shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill.
  • Qolina's total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount paid by you for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
  • Qolina is not liable for any loss or corruption of data, including Signal data, arising from circumstances beyond our reasonable control.

12.3 Force Majeure

Qolina shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, governmental actions, network failures, power outages, or third-party service disruptions.


13.

Indemnification

You agree to indemnify, defend, and hold harmless Qolina, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any claim by a third party (including End Users) related to data you collected through the Service

14.

Termination

14.1 Termination by Subscriber

You may request cancellation at any time by contacting Qolina at contact@qolina.ma. Cancellation takes effect at the end of the current billing period, unless otherwise agreed in writing.

Because payments are made offline (bank transfer/cheque), refunds (if any) are handled case-by-case and only where required by applicable law or explicitly stated on the invoice or a written agreement between the parties.

14.2 Termination by Qolina

We reserve the right to suspend or terminate your account, with or without notice, if:

  • You breach any provision of these Terms
  • Your use of the Service poses a security risk or may cause harm to other users
  • You fail to pay applicable subscription fees
  • We are required to do so by law

14.3 Account Deletion

You may request the deletion of your account through the Application's account settings. Upon receiving a valid account deletion request (confirmed by email verification), we will process the deletion within a reasonable timeframe. Deletion is irreversible and will result in the permanent removal of your account data, subject to any legally required retention obligations.

14.4 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately (or at the end of the current billing period, for voluntary cancellation)
  • We may retain anonymized and aggregated data as described in Section 7.4
  • Sections 7 (Data Ownership), 10 (Intellectual Property), 11 (No Public Reviews), 12 (Liability Limitation), 13 (Indemnification), and 16 (Governing Law) shall survive termination

15.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Application or by email at least thirty (30) days before they take effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use and cancel your subscription before the changes take effect.


16.

Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, without regard to conflict of law principles.

16.2 Jurisdiction

Any dispute arising from or relating to these Terms or the use of the Service shall be submitted to the exclusive jurisdiction of the competent courts of Casablanca, Morocco.

16.3 Amicable Resolution

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute amicably through good-faith negotiation for a period of thirty (30) days from written notice of the dispute.


17.

Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy available at https://qolina.ma/privacy-policy, constitute the entire agreement between you and Qolina regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 No Waiver

The failure of Qolina to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Qolina may assign its rights and obligations without restriction.

17.5 Language

These Terms are drafted in English. In the event of any discrepancy between a translated version and the English version, the English version shall prevail.
